Affiliate Program Terms and Conditions
This Affiliate Program Terms and Conditions (the “Agreement”) is entered into between SolFoodz Pte. Ltd. (the “Company,” “we,” “us,” or “our”), a company incorporated in Singapore, operating the brand “Emping So Good” and the website emping.sg (the “Website”), and you (the “Affiliate,” “you,” or “your”).
By completing the application form and participating in the Affiliate Program (the “Program”), you agree that this Agreement is effective and legally binding upon form completion. If you do not agree, do not complete the form or participate.
1. Definitions
- “Affiliate” means an approved participant in the Program.
- “Affiliate Link” means the unique tracking link provided by us for attributing sales to you.
- “Qualified Sale” means a completed purchase on the Website originating from your Affiliate Link, after deducting shipping, taxes, refunds, and excluding fraudulent or invalid transactions.
- “Commission” means the payment due to you for Qualified Sales.
- “Creative Materials” means images, logos, trademarks, text, and other promotional assets provided by us.
- “Program” means the affiliate marketing program described in this Agreement.
2. Eligibility, Application, and Approval Process
- Only individuals who are Singapore citizens are eligible to apply.
- To apply, submit an application through the designated form on the Website, providing accurate information including your full name, contact details, phone number for PayNow, and proof of citizenship if requested.
- We reserve the right to approve or reject applications at our sole discretion based on criteria such as alignment with our brand, compliance history, and promotional capabilities. We may require additional documentation.
- Approval will be communicated via email. Rejected applicants may reapply after addressing any specified issues.
3. Affiliate Obligations
- Promote our products ethically and accurately, directing potential buyers solely to the Website for purchases.
- Creative Materials are our exclusive intellectual property. You are granted a limited, non-exclusive, revocable license to use them solely for promoting our products to drive traffic to the Website. Any unauthorized use, modification, or distribution is prohibited.
- Where Creative Materials (e.g., images) allow for linking, you must link them to emping.sg or your Affiliate Link.
- Comply with all applicable Singapore laws, including the Personal Data Protection Act (PDPA) for any data handling, the Sale of Food Act, and advertising standards (e.g., no false or misleading claims, no spamming via email or social media).
- Do not bid on our brand keywords (e.g., “Emping So Good,” “Emping.sg,” “Emping SG,” “Emping Singapore”) in pay-per-click advertising.
- Do not engage in self-referrals, use bots, or generate invalid traffic.
- Upon ceasing to be an Affiliate, immediately remove all Affiliate Links, Creative Materials, and linked images from your platforms.
4. Company Rights and Obligations
- We will provide Affiliate Links, Creative Materials, and tracking tools.
- We reserve the right to monitor your promotional activities, reject invalid traffic, and audit your records related to the Program upon reasonable notice.
- We may update Creative Materials or Program features as needed.
5. Tracking and Attribution
- Sales are tracked via cookies with a 14 day duration.
- Attribution follows last-click credit: the last Affiliate Link clicked before a purchase receives the Commission.
- We use reliable tracking software, but disputes must be raised within 30 days of a reporting period.
6. Commission Structure
- Commissions are calculated base of the net value of Qualified Sales (after shipping, taxes, and refunds).
- A 1-week refund period applies; refunds within this period void Commissions.
- We may change the Commission rate with 14 days’ prior written notice (via email or Program dashboard).
7. Payouts and Payment Schedule
- Payouts via PayNow using your provided phone number.
- Minimum threshold: SGD 20; lower amounts roll over until the threshold is met.
- You may request a payout once the threshold is reached. Payouts will be processed within 14 days of a valid request.
- Commissions are calculated post-shipping, taxes, and refunds.
8. Tax Responsibilities
- You are responsible for all taxes, duties, and levies on Commissions received. We may withhold taxes if required by Singapore law.
- Provide accurate tax information upon request.
9. Confidentiality
- Treat non-public information shared by us (e.g., sales data, strategies) as confidential and use it solely for Program purposes.
- This obligation survives termination.
10. Termination
- We may terminate this Agreement immediately at our full discretion, with or without cause.
- You may terminate with [Insert Notice, e.g., 7 days’] written notice.
- Upon termination, cease all promotions, remove materials, and forfeit unpaid Commissions below threshold.
- Post-termination, return or destroy confidential information. All obligations and liabilities under this Agreement (including but not limited to indemnity, confidentiality, and intellectual property restrictions) survive termination.
11. Liability and Indemnification
- Our liability is limited to unpaid Commissions owed.
- You indemnify us against losses from your breach, misuse of Creative Materials, or violations causing harm (e.g., IP infringement claims).
- Neither party is liable for indirect damages.
12. Dispute Resolution
- Disputes shall first attempt resolution via good-faith negotiation.
- If unresolved, submit to mediation under the Singapore Mediation Centre.
- Failing mediation, exclusive jurisdiction of Singapore courts applies.
13. Amendments
- We may amend this Agreement (beyond Commission changes) with 7 days prior notice. Continued participation accepts amendments.
14. Governing Law This Agreement is governed by the laws of the Republic of Singapore, without regard to conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of Singapore courts.
15. Miscellaneous
- This Agreement is the entire understanding, superseding prior agreements.
- If any provision is invalid, others remain enforceable (severability).
- No waiver of breach constitutes waiver of future breaches.
- Notices shall be via email to the addresses provided.
